Terms of Service

You may use the Site for lawful purposes only. You agree not to use the Site in any way that violates applicable local, state, national, or international law or regulation; to transmit unsolicited commercial communications; to impersonate any person or entity; or to interfere with the proper functioning of the Site.

We reserve the right to terminate or restrict your access to the Site at any time, without notice, for any reason.

All content on the Site — including text, graphics, logos, video, audio, photographs, and software — is the property of Bada Bing Productions LLC or its content licensors and is protected by United States and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site without our prior written consent.

Engagements for video production, post-production, crew staffing, equipment rental, creative direction, or any other services are governed by a separate written agreement (a “Production Agreement” or “Statement of Work”) executed between Bada Bing Productions and the client. In the event of a conflict between these Terms and a signed Production Agreement, the Production Agreement controls.

Submitting a contact form, requesting a quote, or initiating a conversation does not constitute a binding contract for services. No services are engaged until a written agreement is signed and any required deposit is received.

All project quotes are estimates based on the information available at the time of proposal. Final pricing is confirmed in a signed Production Agreement. Quote validity is 30 days from the date of issue unless otherwise specified.

Unless otherwise specified in a Production Agreement, our standard payment terms require 50% of the project total upon contract execution and 50% upon project delivery. Late payments may be subject to interest at a rate of 1.5% per month or the maximum permitted by law, whichever is lower.

Upon receipt of full payment, Bada Bing Productions grants the client the rights to the final deliverables as specified in the applicable Production Agreement. Unless expressly transferred in writing, Bada Bing Productions retains copyright ownership of all raw footage, project files, and underlying creative assets developed in connection with a project.

Bada Bing Productions reserves the right to display completed work in our portfolio, showreel, and marketing materials unless otherwise restricted in writing by a signed non-disclosure or confidentiality agreement.

Either party may terminate a project engagement upon written notice. If a client terminates a project after production has commenced, the client is responsible for all costs and fees incurred through the date of termination, plus any non-cancellable commitments made on the client's behalf (vendor bookings, crew deposits, location fees, etc.). Deposits are non-refundable unless otherwise specified in the Production Agreement.

Our services may involve coordinating with third-party vendors, platforms, talent, or contractors. We are not responsible for the acts, omissions, errors, representations, or warranties of any third party. Any disputes with third-party vendors are between you and the vendor directly, except where we have assumed responsibility in a signed Production Agreement.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, BADA BING PRODUCTIONS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOSS OF DATA, OR GOODWILL — ARISING FROM YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Bada Bing Productions LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of your violation of these Terms or your use of the Site.

These Terms and any disputes arising from them shall be governed by the laws of the State of Illinois, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within Cook County, Illinois for resolution of any disputes.

We reserve the right to modify these Terms at any time. Changes take effect immediately upon posting to the Site. Your continued use of the Site after any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
